Percenteum Financial Solutions LLC Terms and Conditions
This Agreement governs Client purchase and use of Percenteum Financial Solutions LLC online consulting subscription services (“Services”). By checking the policy acceptance box, the Client acknowledges they have read, understood, and agree to these terms.

1. Services Provided
Percenteum delivers consulting, advisory, and professional support per chosen subscription, as described on Percenteum’s website or in a mutually agreed Statement of Work (SOW).

2. Term and Renewal
Subscription begins upon online acceptance. It renews automatically monthly unless either party gives written (including electronic) notice of termination at least 60 days before renewal.

3. Fees and Payment

All fees due at purchase unless otherwise specified in writing.

Payments processed via Percenteum’s approved online system.

Nonpayment may result in service suspension or termination.

Fees are non-refundable except as expressly allowed in Section 9 (Termination).

4. Client Responsibilities
Client agrees to:

Provide accurate, timely, complete information for consulting services

Maintain confidentiality of login credentials and access codes

Refrain from conduct harmful to Percenteum’s reputation or business

5. Confidentiality
Both parties shall keep non-public information confidential and use it solely for service performance under this Agreement.

6. Intellectual Property
Percenteum retains all rights to materials, tools, frameworks, and IP developed before or during engagement. Client gets a limited, non-transferable license for internal business use of deliverables.
​
7. Limitation of Liability
Percenteum’s total liability for claims related to this Agreement will not exceed the amount paid by Client for Services in the twelve (12) months prior to any claim. Percenteum is not liable for indirect or consequential damages.

8. Independent Contractor
Percenteum is an independent contractor; this Agreement does not create partnership, joint venture, or employment between the parties.

9. Termination
Either party may terminate:

For convenience, with thirty (60) days written (electronic acceptable) notice before the next billing cycle

Immediately, if the other party breaches a material obligation and fails to cure within fifteen (15) days of written notice
Upon termination, unpaid fees are immediately due.

10. Governing Law
This Agreement is governed by Texas law, excluding its conflict of law principles.
​
11. Entire Agreement
This Agreement supersedes all prior discussions and agreements regarding its subject matter.

12. Amendments
Percenteum may update Terms and Conditions periodically. Material changes are notified via email or client portal. Continued use constitutes acceptance.
Electronic Acceptance
By electronically accepting, Client consents to conduct business electronically, acknowledges the legal binding nature of this agreement, and agrees to all terms herein.​
